Your company in India is paying a consultant in the UAE

The India-UAE treaty has no fees-for-technical-services article. The invoice label does not decide the deduction.

A Dubai firm sent your Indian company an invoice for consulting, design or management. Someone has to say what tax to deduct, and the bank wants a form before it sends the money.

Confirm this with a practising CA before you act. The answer depends on the year and your documents.

The short answer

The Income Tax Department's text of the India-UAE treaty (the ) has no fees-for-technical-services article. Business profits of a UAE enterprise are taxable in India only if there is a permanent establishment, and then only the profit attributable to it (Article 7). A service permanent establishment needs more than nine months on the same or a connected project in any twelve months (Article 5(2)(i)). A royalty, if the recipient is the , is capped at 10 per cent of the gross (Article 12). The duty to deduct, when the sum is chargeable, is section 195 (old Act). We do not state a new section number for that duty. The note's header lists more than one section of the 2025 Act against the old section 195.

What to do

Read the contract before you pick a rate. A fee for the firm's own staff to do the work is usually a service. A payment for the use of a patent, design, secret process or commercial experience can be a royalty. The words on the invoice do not decide it.

Ask how long the UAE firm's people have been in India on this project. Article 5(2)(i) adds up the time on the same or a connected project inside any twelve months. More than nine months is a service permanent establishment (). A shorter visit does not answer the fixed-place test or the agent test. Those are on the permanent establishment page.

Article 7 says the profit is taxable in India only so far as it is attributable to a permanent establishment. If you conclude the remittance is not chargeable, the note says Part D is the part, and that part does not require a deduction. Do not file Part D from the invoice label alone. A practising CA has to be able to say why the sum is not chargeable.

If it is a royalty and the recipient is the , Article 12 caps the Indian tax at 10 per cent of the gross. That cap needs the treaty papers. This page does not state the domestic rate that applies when those papers are missing.

Collect the company's tax residency certificate () for the Indian year of the payment, and . For income up to 31 March 2026 the form is still . The Form 41 FAQ says that without a valid electronically filed Form 41, together with the certificate, the payer deducts at the rate that applies.

File before the bank sends the money. A company does not get the individual exemption in the Form 145 note. If the payment is chargeable, the year's total to non-residents is over ₹5 lakh, and you do not hold an officer's certificate, comes first and then Part C. The parts are on the company guide.

A missing is a different rule. This page does not turn it into a flat percentage. Use the no-PAN page. If the contract says the consultant is paid a stated sum free of Indian tax, use the gross-up page. on an imported service is the reverse-charge page.

Send the contract and the invoice, and we will say which article applies before the bank is asked for the form.

If the two companies are in one group

A fee to a UAE company that your Indian company owns, or that owns you, can also be an international transaction. The accountant's report is . That filing is already on the transfer-pricing page. The treaty still has an associated-enterprises article. This page does not restate the penalties or the documentation threshold.

The UAE company's own view of the same invoice is the no fees-for-technical-services page. If the certificate's dates do not cover the Indian year, use the timing page.

What we will not tell you to do

We will not say the deduction is nil because the treaty has no fees-for-technical-services article. We will not say last year's certificate covers a payment this year. We will not name a domestic percentage for a service fee. If tax that should have been deducted was not deducted, the payer can be asked for it. We do not put a new section number on that sentence.

What's involved

What the CA actually does

  1. 1

    We read the contract

Service, royalty, or a mix. We say which article is actually in play, and whether the nine-month count matters.

  2. 2

    We name the form

part, whether comes first, and whether and the certificate cover the year.

  3. 3

We keep the group filing separate

If the UAE firm is in the same group, is the other page. We do not fold it into the withholding working.

What to have ready

Documents you'll typically need

  • The contract and the invoice
  • How many months the same project has run, and who was in India
  • The UAE company's tax residency certificate, if you have it
  • Form 41 or Form 10F acknowledgement, if it has been filed

Frequently asked questions

Common questions

No. It means there is no fees-for-technical-services article to apply. Business profits are taxable in India if there is a permanent establishment. A royalty can still be taxed, at up to 10 per cent when the recipient is the beneficial owner. Part D of Form 145 is for a remittance you can show is not chargeable. The invoice label is not that showing.

Article 5(2)(i) asks for more than nine months in any twelve, on the same or a connected project. Four months does not meet that limb. A fixed place, or an agent who habitually concludes contracts, can still be a permanent establishment.

Section 195 of the Income-tax Act, 1961, the old Act, where the sum is chargeable. The Form 145 note's header lists more than one section of the 2025 Act for this form. We do not pick one of them as the replacement.

This page does not say that. The higher-rate rule and the documents that can switch one limb of it off are on the no-PAN page. Rule 217 names fees for technical services. A UAE service fee may sit outside that name, because this treaty has no fees-for-technical-services article. That is a characterisation question, not a flat rate.

The exceptions that change the answer

Where the general rule stops applying to you

Every rule below has a carve-out, a cut-off date or a condition that flips the answer. These are the ones that decide real cases.

Tax on royalty and fees for technical services paid to non-residents

Right now: 20% plus surcharge and cess

Where it works differently

A treaty applies and is more beneficial
The treaty rate governs, commonly 10-15%. The doubling of the domestic rate made treaty claims worth far more.
s.90(2). Requires TRC and Form 10F (Form 41 from 1 Apr 2026).
The India-US or India-UK treaty applies to FTS
The make-available test can remove the income from Indian tax entirely, not merely reduce the rate.
Article 12 of both treaties.
Claiming the treaty rate
A foreign company must file an Indian return to take the DTAA rate over s.115A.
Condition attached to the FA 2023 amendment.

Commonly got wrong

  • Royalty and FTS to non-residents are taxed at 10%. Doubled to 20% from 1 April 2023.20% plus surcharge and cess under domestic law from 1 April 2023, or the treaty rate (often 10-15%) if you hold a TRC and file the return.
